Bio Machines Merger
Memo Confidential!
RE: BioMachines
DT: January 9, 2006
FR: Werner Martin, CEO
To: all staff and sales reps
Action required: read and remember
Deadline: immediately
December 29, 2005 BioMachines has merged with another company call Advanced Mobility (AM). BioMachines, however, will continue to operate under its name. Changes in management were needed. The new goal is to convert BioMachines to be more of a commercial enterprise. LEAP is still a shareholder and the distribution agreement for the 2D iD and 2D iDx is still in place. The TM iD application is still being added to LEAP?s own L-PAD by BioMachines. Infotech the Swiss manufacturer of the 2D iD, 2D iDx and the L-PAD also continues to be a shareholder and stays in its function as the sole manufacturer. The new CEO was announced earlier this week and will take over January 9, 2006. His name is Tom Larrichio. BioMachines will remain within the LEAP facilities for the next 2 months but will then move out to Research Triangle Park according to the new management team. LEAP wishes that BioMachines comes to life as a responsive and competent partner to fulfill the original idea of collaboration in R&D and engineering. I will give you an update when the new management will have settled in and the collaboration between LEAP and BioMachines has gone through a rigorous review process.
